Introduction

Welcome to craydl.org (the "Website"). This Terms and Conditions Agreement (the "Agreement") is made and entered into by and between you and Craydl ("the Company," "us," "we," or "our"). This Agreement sets forth the terms and conditions that govern your use of and access to the Website and any products, materials, and services provided by or on the Website, including Virtual Design and Construction services, preconstruction planning, architectural design, interior design, AI-powered features, GoHighLevel CRM-based communications, and related construction intelligence services (collectively, the "Services").

Acceptance of This Agreement

1.1 Acceptance Through Using or Accessing the Services

By accessing or using the Services, or by clicking "accept" or "agree" to this Agreement when prompted, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you may not use or access the Services and must exit the Website immediately.

1.2 Eligibility

To use the Website or any other Services, you must be at least 18 years old and not a competitor of or using the Services for purposes that are competitive with the Company. By accessing or using the Services, you represent and warrant that you meet all eligibility requirements and have the right, authority, and capacity to enter into this Agreement.

1.3 Changes to This Agreement

The Company reserves the right to change this Agreement from time to time in its sole discretion. All changes will apply to your use of and access to the Services from the date the changes become effective. Your continued use of or access to the Services following any changes shall constitute your acknowledgment of such changes and agreement to be bound by the updated terms.

Access to the Services

2.1 Changes to the Services

The Services may change from time to time as the Company evolves, refines, or adds more features. The Company reserves the right to modify, withdraw, or discontinue the Services, in whole or in part, at any time without notice to you. You agree that the Company shall have no liability to you or any third party for any losses or damages caused by the Services not being available.

2.2 Creating an Account

You may be required to register for an account and provide certain information about yourself to access the Services or certain features of the Services. You promise to provide us with accurate, complete, and updated information about yourself. All information that you provide will be governed by our Privacy Policy at craydl.org. You consent to all actions that we may take with respect to your information consistent with our Privacy Policy.

2.3 Account Responsibilities

You are entirely responsible for maintaining the confidentiality of your password and account. You are also entirely responsible for any and all activities associated with your account. Your account is personal to you and you agree not to provide any other person with access to the Services using your username, password, or other security information. You agree to notify the Company immediately of any actual or suspected unauthorized use of your account or any other breach of security.

2.4 Termination or Deletion of an Account

The Company shall have the right to suspend or terminate your account at any time in our sole discretion for any or no reason, including if we determine that you have violated any terms or conditions of this Agreement.

Policy for Using the Services

3.1 Permitted Uses

You may use the Services for lawful purposes only and in accordance with this Agreement. Permitted uses include browsing our services and portfolio, requesting project consultations, scheduling meetings, communicating with our team, and engaging our preconstruction and construction design services. You agree not to use the Services in any way that could damage the Services or general business of the Company.

3.2 Prohibited Activities

You further agree not to engage in any of the following prohibited activities:

No Violation of Laws or Obligations: Violate any applicable laws or regulations, including intellectual property laws or right of privacy or publicity laws, or any contractual obligations.

No Unsolicited Communications: Send any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of unsolicited communications.

No Impersonation: Impersonate others or otherwise misrepresent your affiliation with a person or entity in an attempt to mislead, confuse, or deceive others.

No Harming of Minors: Exploit or harm minors in any way, including exposing inappropriate content or obtaining personally identifiable information.

No Interference with Others: Harass or interfere with anyone's use or enjoyment of the Services, or expose the Company or other users to liability or other harm.

No Interference or Disabling of the Services: Use any device, software, or routine that interferes with the proper working of the Services, or take any action that may interfere with, disrupt, disable, impair, or create an undue burden on the infrastructure of the Services.

No Monitoring or Copying Material: Copy, monitor, distribute, or disclose any part of the Services by automated or manual processes, devices, or means.

No Viruses or Damaging Software: Upload, transmit, or distribute to or through the Services any viruses, Trojan horses, worms, logic bombs, or other materials intended to damage or alter the property of others.

No Unauthorized Access: Violate the security of the Services through any attempt to gain unauthorized access, breach or circumvent encryption or security tools, or engage in data mining or interference with any server, computer, database, or network.

No Reverse Engineering: Reverse engineer, decompile, or otherwise attempt to obtain the source code or underlying information relating to the Services.

No Collecting User Data: Collect, harvest, or assemble any data or information regarding any other user without their consent.

3.3 Geographic Restrictions

The Company is based in the State of Arizona and primarily serves clients in Arizona, Nevada, Colorado, Utah, and California. By choosing to access the Services from any location outside the United States, you accept full responsibility for compliance with all local laws.

Terms and Conditions of Sale

4.1 Services

Construction, preconstruction, architectural design, interior design, and Virtual Design and Construction services provided by Craydl are subject to the terms of any signed service agreement or proposal entered into between you and the Company. In the event of a conflict between this Terms and Conditions Agreement and a signed service agreement, the signed service agreement shall govern with respect to the specific scope of services.

4.2 Purchasing Process

For services offered through the Website, the purchasing process includes engaging our services or clicking a checkout or payment button, agreeing to the applicable terms, confirming your order, and committing to payment of the agreed-upon price. After providing all required information, you must carefully review and confirm your order.

4.3 Order Submission

When you submit an order, the submission creates an obligation for you to pay the price, taxes, and any further fees as specified. In cases where the purchased Services require active input from you, the order submission creates an obligation for you to cooperate accordingly. Upon submission of the order, you will receive a receipt confirming that the order has been received.

4.4 Prices

You are informed during the purchasing process and before order submission about any fees, taxes, and costs that you will be charged. Service pricing is typically structured per square foot under roof and may range based on project scope and service level.

4.5 Methods of Payment

Information related to accepted payment methods is made available during the purchasing process. All payments are independently processed through third-party services. The Website does not collect any payment information such as credit card details but only receives a notification once the payment has been successfully completed.

4.6 Retention of Usage Rights

You do not acquire any rights to use the purchased Services until the total purchase price is received by the Company.

Intellectual Property Rights

5.1 Ownership of Intellectual Property

You acknowledge that all intellectual property rights, including copyrights, trademarks, trade secrets, and patents, in the Services and its contents, features, and functionality are owned by the Company, its licensors, or other providers of such material. The content is protected by U.S. and international intellectual property or proprietary rights laws. Neither this Agreement nor your access to the Services transfers to you any right, title, or interest in or to such intellectual property rights.

5.2 License to Use the Services

During the term of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use and access the content for personal and business research and evaluation purposes in accordance with this Agreement. This license will terminate upon your cessation of use of the Services or at the termination of this Agreement.

5.3 Certain Restrictions

The rights granted to you in this Agreement are subject to the following restrictions. You shall not copy, reproduce, publish, display, post, transmit, or distribute any part of the content except as expressly permitted. You shall not modify, create derivative works from, translate, adapt, disassemble, reverse compile, or reverse engineer any part of the content. You shall not sell, license, sublicense, transfer, assign, rent, lease, loan, host, or otherwise exploit the content or the Services. You shall not delete or alter any copyright, trademark, or other proprietary rights notices from copies of the content. You shall not access or use the content in order to build a similar or competitive product or service.

5.4 Trademark Notice

All trademarks, logos, and service marks displayed on the Services are either the Company's property or the property of third parties. You may not use such trademarks, logos, or service marks without the prior written consent of their respective owners.

User Content

6.1 User Generated Content

The Services may allow users to post, upload, submit, or transmit content or materials on or through the Services. You are solely responsible for your content. Any content you post will be considered non-confidential and non-proprietary. You assume all risks associated with the use of your content.

6.2 License

You hereby grant to the Company an irrevocable, non-exclusive, royalty-free and fully paid, transferable, perpetual, and worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your content in connection with the Services and the Company's business.

6.3 Content Standards

You agree not to send, knowingly receive, upload, transmit, display, or distribute any content that violates any applicable laws or regulations, promotes any illegal activity or creates any risk of harm, loss, or damage to any person or property, infringes any intellectual property rights of any other person, or contains any information that is unlawful, defamatory, abusive, threatening, harassing, harmful, violent, hateful, obscene, or otherwise objectionable.

Privacy

For information about how the Company collects, uses, and shares your information, including information collected through our GoHighLevel CRM platform, AI-powered tools, and SMS communications, please review our Privacy Policy at craydl.org.

SMS Data Protection: All text messaging originator opt-in data and consent information will not be shared with any third parties, excluding aggregators and providers of the text message services necessary to deliver the SMS service. Your mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.

You agree that by using the Services you consent to the collection, use, and sharing as set forth in the Privacy Policy.

GoHighLevel CRM Services

8.1 Third-Party Platform

We use GoHighLevel as our CRM platform to manage client communications, automated SMS and email follow-up sequences, appointment scheduling, and marketing workflows. You acknowledge and agree that GoHighLevel CRM is a third-party platform. The actual software, servers, and infrastructure are owned and operated by HighLevel Inc.

8.2 SMS and Email Communications via GoHighLevel

By providing your phone number or email address and opting in to receive communications, you consent to receive SMS text messages and emails from us via the GoHighLevel platform. These communications may include appointment reminders for consultations and project meetings, project milestone and update notifications, follow-up messages after consultations or inquiries, and responses to inbound inquiries you initiate.

SMS Consent Language: By providing your phone number and opting in, you consent to receive recurring automated and non-automated SMS messages from Craydl regarding preconstruction services, project updates, appointment reminders, and related services. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help.

8.3 GoHighLevel Data Processing

When you interact with our GoHighLevel-powered communications, landing pages, or forms, your data including name, phone number, email, and interaction data may be processed and stored within the GoHighLevel platform according to GoHighLevel's own privacy policy and terms of service in addition to our policies. You can review GoHighLevel's Privacy Policy at https://www.gohighlevel.com/privacy-policy.

8.4 Limitation of Liability for GoHighLevel Platform

We are not responsible for any issues, outages, data breaches, or other problems that may occur with the GoHighLevel platform. This includes but is not limited to service interruptions or downtime, data loss or corruption, security breaches or unauthorized access to data, and changes to the GoHighLevel platform's features or functionality.

8.5 Acceptance of Risk

By using our GoHighLevel-powered communications and CRM services, you accept all risks associated with using a third-party platform and agree to hold us harmless for any issues arising from the GoHighLevel platform, services, or decisions.

AI Technologies and Services

9.1 AI-Powered Features

Our Services may include or incorporate artificial intelligence technologies to enhance your experience, including AI-powered text and voice agents for project inquiries and customer support, automated lead qualification and project matching, AI-enhanced quality assurance systems for client communications via GoHighLevel, and natural language processing capabilities for project inquiries.

9.2 Your Interactions with AI Systems

By using our AI-powered features, you acknowledge and agree that you may be interacting with automated AI systems rather than human agents in some instances, AI-generated responses and content are created through algorithmic processes, and you can request human intervention at any point during AI interactions.

9.3 Data Collection for AI Systems

Our AI systems collect and process data from your interactions with our Services including text inputs and responses in chats or messages, voice recordings when you use voice-enabled features, usage patterns and project preferences, and technical information about your use of the Services. All data collection and processing for AI purposes is subject to our Privacy Policy at craydl.org.

9.4 AI-Generated Content

When our Services generate content using AI technologies, we do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and verifying any AI-generated content before using it for project decisions or other purposes. AI-generated content does not constitute professional legal, financial, or tax advice.

9.5 AI Usage Limitations

You agree not to use our AI technologies to generate, upload, or distribute content that violates our Content Standards or applicable laws, create deepfakes or other misleading synthetic media without proper disclosure, impersonate individuals without their consent, engage in automated spamming or harassment, attempt to manipulate or test boundaries of the AI systems in ways that could cause harm, attempt to extract training data, model parameters, or proprietary information, or use the AI systems to develop competing products or services.

9.6 Assumption of Risk for AI Technologies

You acknowledge and accept that AI technologies are rapidly evolving and may contain errors or limitations, AI systems may occasionally produce unexpected or inaccurate outputs, and the use of AI-generated content or decisions based on AI recommendations are at your own risk.

Termination

10.1 Termination

The Company may suspend or terminate your access or rights to use the Services at any time, for any reason, in our sole discretion, and without prior notice, including for any breach of the terms of this Agreement. Upon termination of your access or rights to use the Services, your right to access and use the Services will immediately cease.

10.2 Effect of Termination

Upon termination of this Agreement, any provisions that by their nature should survive termination shall remain in full force and effect. This includes ownership or intellectual property provisions, warranty disclaimers, and limitations of liability. Termination of your access does not relieve you of any obligations arising or accruing prior to termination.

No Warranty

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE, COMPLETE, OR CORRECT, THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, OR THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING WITHOUT LIMITATION ANY LOSS OF USE, REVENUE, OR PROFIT, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT INCLUDING NEGLIGENCE, OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO THE COMPANY IN THE SIX MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY OR ONE HUNDRED DOLLARS ($100.00).

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates and their respective officers, directors, employees, agents, affiliates, successors, and permitted assigns from and against any and all losses, claims, actions, suits, complaints, damages, liabilities, penalties, interest, judgments, settlements, deficiencies, disbursements, awards, fines, costs, fees, or expenses of whatever kind, including reasonable attorneys' fees, arising out of or relating to your breach of this Agreement or your use or misuse of the Services.

Disputes

14.1 Governing Law

All matters relating to this Agreement, and all matters arising out of or relating to this Agreement, whether sounding in contract, tort, or statute are governed by, and construed in accordance with, the laws of the State of Arizona, without giving effect to any conflict of law principles.

14.2 Dispute Resolution and Mandatory Arbitration

BY PURCHASING OR USING ANY OF OUR PRODUCTS OR SERVICES, YOU EXPRESSLY AGREE THAT YOU WILL RESOLVE ANY DISPUTE THROUGH BINDING ARBITRATION AND WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN ANY LAWSUIT AGAINST THE COMPANY. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules in the State of Arizona. The arbitrator's award shall be final and binding on all parties. All arbitrations shall proceed on an individual basis. You waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration, and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind.

14.3 Limitation of Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION AROSE. OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY WAIVED AND BARRED.

SMS and Text Messages

15.1 SMS Program Description

Our SMS program, operated through the GoHighLevel CRM platform, provides text messages for appointment reminders, project updates, follow-up messages, and occasional service communications when you opt in. Message frequency varies depending on your interaction with our services and project activity.

15.2 Opting Out

You can cancel the SMS service at any time. Simply text STOP to the number from which you receive messages. Upon sending STOP, we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially at craydl.org or text START.

15.3 Help and Support

If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or contact us through our website at craydl.org.

15.4 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

15.5 Message and Data Rates

Message and data rates may apply for messages sent to you from us and from you to us. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

15.6 Recurring Messages Disclosure

By opting into our SMS program, you authorize us to send recurring text messages to the mobile phone number you provide. You are not required to agree to receive recurring messages as a condition of purchasing any goods or services.

15.7 Prohibited Content

Our SMS messages will never contain phishing attempts, smishing, or social engineering to manipulate you into sharing private information, illegal content, or SHAFT content including sex, hate, alcohol, firearms, and tobacco that does not follow federal and state law and regulations.

15.8 SMS Opt-In Data Protection

All text messaging originator opt-in data and consent information will not be shared with any third parties, excluding aggregators and providers of the text message services necessary to deliver the SMS service. Your mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.

15.9 TCPA Compliance

We comply with the Telephone Consumer Protection Act in all SMS and automated communications. Our GoHighLevel CRM platform is configured to support full TCPA compliance including obtaining express written consent before sending automated SMS messages, honoring opt-out requests immediately, not sending SMS messages outside of permitted hours between 8:00 AM and 9:00 PM in the recipient's local time, and maintaining records of all consent and opt-out activity.

Miscellaneous

16.1 Waiver

No failure of the Company to exercise, or delay by the Company in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof.

16.2 Severability

If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement.

16.3 Entire Agreement

This Agreement constitutes the entire agreement between you and the Company with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties. This Agreement does not supersede any signed service agreement or proposal, which shall govern the specific scope of services to which it relates.

16.4 Assignment

You shall not assign or delegate any of your rights or obligations under this Agreement without the prior written consent of the Company. The Company may freely assign or delegate its rights and obligations under this Agreement at any time.

16.5 Force Majeure

The Company shall not be liable or responsible to you, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in performance when and to the extent such failure or delay is caused by or results from acts beyond the Company's reasonable control.

16.6 Compliance with Laws

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Services.

16.7 Acknowledgment

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
